Key Opinion Leader (KOL) Video Release Agreement

THIS AGREEMENT made and entered into on 11/16/2024 by and between Voibon, a Deleware corporation (hereinafter referred to as "Part A"), and , (hereinafter referred to as "Part B").
The purpose of this agreement is to outline the terms and conditions for Part B's participation in the recording of a video endorsement of Part A's product/service, which will be used for promotional purposes.
Recording of Video: Part B agrees to participate in the recording of a video endorsement of Part A's product/service. The video will highlight Part B's personal experience and endorsement of the product/service, including its unique features and benefits.
Video Content: The video should not contain any false or misleading information, or any content that is defamatory, obscene, or otherwise in violation of any law. Part B represents and warrants that the video is original and has not been previously published or used by another party.
Video Ownership: Part A shall own all right, title, and interest in and to the video, including, but not limited to, all copyrights and other proprietary rights, and the right to use, edit, modify, and distribute the video in any manner and in any media now known or hereafter devised.
Release of Liability: Part B agrees to release and hold harmless Part A and its affiliates, officers, directors, employees, agents, and assigns from and against any and all claims, demands, actions, causes of action, damages, liabilities, losses, expenses, and costs, including, but not limited to, reasonable attorneys' fees, arising out of or in connection with the video, including, but not limited to, claims of defamation, invasion of privacy, or infringement of any intellectual property right.
Term: This agreement shall commence on the date of execution and shall continue until the termination of Part A's use of the video.
Governing Law: This agreement shall be governed by and construed in accordance with the laws of the [Insert State].
Entire Agreement: This agreement constitutes the entire understanding between the parties and supersedes all prior and contemporaneous agreements, understandings, negotiations, and representations, whether written or oral, relating to the subject matter of this agreement.
Amendment: This agreement may only be amended in writing and signed by both parties.
